Terms of Service

These Terms of Service ("Terms") govern access to and use of the CT Consulting Agent
website and application (the "Service"), operated by David Franciamone (Independent Developer)
("we," "us," or "our"). By creating an account, using the "Skip Login" demo mode, or otherwise
accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of the Service
The Service is a workflow tool for CT imaging consulting professionals. It uses artificial
intelligence (including third-party large language models) to help generate documentation,
workflow analyses, training materials, communications, and related content based on information
you provide. It also provides case tracking, problem/task management, and reporting features.
2. Not Medical, Legal, or Compliance Advice
The Service and any content it generates are provided for informational and workflow-assistance
purposes only. Output is generated by an AI model and may contain errors, omissions, or
inaccuracies. Nothing produced by the Service constitutes medical advice, a medical device,
clinical guidance, legal advice, or a substitute for professional judgment. You are solely
responsible for reviewing, verifying, and approving any content before relying on it or sharing it
with a third party, including hospital staff, clinicians, or patients.
3. Accounts and Eligibility
- You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials.
- You must be at least 18 years old and legally able to enter into a binding contract to use the Service.
- You are responsible for all activity that occurs under your account, including activity by anyone you invite into a shared organization.
- "Guest" / demo mode is provided for evaluation only. Data entered in guest mode is not guaranteed to persist and may be shared across demo sessions.
4. Subscriptions, Billing & Cancellation
- Paid access to the Service is billed on a recurring monthly (or as otherwise stated at checkout) basis, in advance, via our third-party payment processor.
- Fees are non-refundable except as required by law or as expressly stated at the time of purchase.
- We may change our pricing with at least 30 days' notice to active subscribers before the change takes effect on your next billing cycle.
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
- We may suspend or terminate access for non-payment after reasonable notice.
5. Your Data and Content
- You retain ownership of the case information, notes, and other content you submit to the Service ("Customer Data").
- You grant us a limited license to host, process, and transmit Customer Data (including to third-party AI providers, see our Privacy Policy) solely to operate and provide the Service to you.
- You represent that you have the right to submit any Customer Data you upload, and that doing so does not violate any third party's rights or any law applicable to you (including healthcare privacy laws — see Section 6).
- You are responsible for maintaining your own backups of anything critical; while we take reasonable care, we do not guarantee against data loss.
6. Healthcare Data — Important Restriction
The Service is not designed, configured, or certified as a HIPAA-compliant system,
and we do not currently sign Business Associate Agreements (BAAs). Do not enter, upload, or
submit any Protected Health Information (PHI) or other individually identifiable patient
information into the Service. Use only de-identified, aggregate, or operational
information (e.g., scanner models, staffing counts, workflow descriptions) that does not identify
any specific patient.
7. Acceptable Use
You agree not to:
- Upload PHI or other data you are not legally permitted to share;
- Use the Service to violate any law or third party's rights;
- Attempt to reverse-engineer, scrape, or interfere with the Service's operation or security;
- Resell or provide access to the Service to third parties outside your organization without our written consent;
- Use generated content in a way that misrepresents it as professionally verified clinical, legal, or engineering advice.
8. Third-Party AI Providers
The Service uses third-party AI providers (currently OpenAI) to generate content. Content you
submit for generation is transmitted to that provider subject to their own terms and data-handling
practices. See our Privacy Policy for details.
9. Disclaimers
THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT
WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT
WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, David Franciamone (Independent Developer) SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA,
OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM
RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12)
MONTHS PRECEDING THE CLAIM.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms,
non-payment, or risk to the Service or other users. You may stop using the Service and close your
account at any time. Sections that by their nature should survive termination (ownership, disclaimers,
limitation of liability) will survive.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Service or
email at least 14 days before taking effect. Continued use after that date
constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of United States, without regard to
conflict-of-law principles. Any disputes will be resolved in the courts located in
Lassen County, California, USA..
